2. Definitions
For the purposes of these Terms and Conditions:

"User" — any natural or legal person accessing or using the website
"Professional User" — any legal person or sole trader using the website in the course of their professional or commercial activity
"Consumer" — any natural person acting outside their professional or commercial activity
"Content" — any text, image, graphics, rendering, photograph, logo, trademark, source code, or any other material present on the website
3. Acceptance of Terms
By accessing this website, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you do not agree, you must immediately cease using the website.
These Terms and Conditions constitute a legally binding agreement between you and AISYSTEMS S.R.L.
4. Purpose of the Website and Nature of Information
4.1 Informational Purpose
The website is for informational and promotional purposes only. All presented information — product descriptions, technical specifications, prices, renderings, photographs, case studies — is provided for general guidance and does not constitute a binding offer within the meaning of Art. 1187 of the Romanian Civil Code.
4.2 Prices and Availability
Displayed prices are expressed in EUR, to which VAT is added in accordance with the Romanian tax legislation in force. AISYSTEMS S.R.L. reserves the right to modify prices, technical specifications, and product availability at any time, without prior notice.
4.3 No Guarantee of Commercial Results
AISYSTEMS S.R.L. does not guarantee that purchasing the presented products will generate specific commercial results, revenues, or profit. Case studies and testimonials shown on the website reflect individual experiences and do not guarantee similar results.
5. Limitation and Exclusion of Liability
5.1 Exclusion of Warranties
To the maximum extent permitted by applicable Romanian law, AISYSTEMS S.R.L. excludes all express or implied warranties regarding the accuracy, completeness, or timeliness of the website's information, the absence of technical errors or service interruptions, the website's compatibility with the user's equipment, and the absence of harmful components.
5.2 Limitation of Liability towards Professional Users
In relations with Professional Users, AISYSTEMS S.R.L. shall not be liable for any direct, indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or reputational damage, regardless of whether AISYSTEMS S.R.L. was advised of the possibility of such damages.
In any event where liability towards a Professional User is established, it shall be limited to the amount actually paid by them to AISYSTEMS S.R.L. during the 12 months preceding the occurrence of the damage, or to the sum of EUR 500 if no payment was made.
5.3 Liability towards Consumers
Towards Consumers, the liability of AISYSTEMS S.R.L. is governed by the Romanian consumer protection legislation in force, particularly GO 21/1992 and Law 449/2003. Nothing in these Terms and Conditions limits the statutory rights of Consumers under applicable Romanian and European legislation.
5.4 Force Majeure
AISYSTEMS S.R.L. shall not be liable for any failure or delay in performing its obligations caused by force majeure events, including natural disasters, pandemics, government restrictions, power cuts, or internet infrastructure failures, in accordance with Art. 1351-1352 of the Romanian Civil Code.
6. Intellectual Property
6.1 Proprietary Rights
All Content on this website is the exclusive property of AISYSTEMS S.R.L. or is used with the consent of the rights holders, and is protected by Law 8/1996 on copyright and neighbouring rights, as well as applicable international legislation.
6.2 Prohibited Use
Without the prior written consent of AISYSTEMS S.R.L., it is strictly prohibited to:
Reproduce, copy, distribute, or publish any Content
Modify, adapt, or create derivative works
Use the Content for commercial purposes
Use scraping, crawling, or automated data extraction techniques

This licence does not apply automatically and does not constitute a copyright assignment. The user retains the right to request the withdrawal of the submitted content at any time by sending a written request to contact@startupkiosk.ro.

7.2 Purpose of Processing

AISYSTEMS S.R.L. may transfer your data to Google LLC via Google Analytics 4 and Google Ads, cloud and hosting service providers, email marketing providers, and public authorities upon request in accordance with the law. The transfer to US-based Google LLC is performed under the standard contractual clauses approved by the European Commission.
7.5 Retention Period
Personal data are stored for a maximum period of 5 years from the last interaction or for the duration necessary to fulfil the processing purpose, unless a longer period is required by law.
7.6 User Rights
In accordance with the GDPR, you have the right to access, rectify, erase, restrict processing, data portability, and object to processing. Requests should be sent to contact@startupkiosk.ro. AISYSTEMS S.R.L. will respond within 30 calendar days. We reserve the right to verify the inquirer's identity before acting upon the request.
You have the right to lodge a complaint with the National Supervisory Authority for Personal Data Processing at www.dataprotection.ro.

12. Severability
If any provision of these Terms and Conditions is found to be void or unenforceable by a competent court, the remaining provisions shall remain in full force and effect and continue to have full legal consequence. The void provision will be replaced by a valid provision that reflects the original intent of the parties as closely as possible.
13. Waiver of Rights
No waiver by AISYSTEMS S.R.L. to exercise any right provided under these Terms and Conditions shall be construed as a permanent waiver of that right or any other right, regardless of the circumstances.
14. Entire Agreement
These Terms and Conditions, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and AISYSTEMS S.R.L. regarding the use of the website, superseding any prior understandings on the same subject matter.
15. Governing Law and Jurisdiction
These Terms and Conditions are governed exclusively by the Romanian legislation in force. Any dispute shall be settled in the first instance amicably. If no amicable resolution is reached within 30 days of written notice of the dispute, it shall be referred to the competent courts in Bucharest, Romania.
Consumers have the right to use alternative dispute resolution procedures, including through the European Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr.
