2. Definitions

For the purposes of these Terms and Conditions: "Site" means the website accessible at startuprevolution.ro and all its pages; "Operator" means AISYSTEMS S.R.L., with the identification data at Art. 1; "User" means any natural or legal person accessing or using the site; "Professional User" means the legal person or authorized natural person using the site in the course of their professional or commercial activity; "Consumer" means a natural person acting outside their professional or commercial activity; "Content" means any text, image, graphic, rendering, photograph, logo, trademark, source code or other material present on the site.

3. Acceptance of terms

By accessing the site, you confirm that you have read, understood and accepted these Terms and Conditions. If you do not agree, you must stop using the site immediately. These Terms and Conditions constitute a legally binding agreement between you and AISYSTEMS S.R.L.

4. Purpose of the site and nature of the information

4.1 Informational nature. The site is exclusively informational and promotional in nature. All information presented — product descriptions, technical specifications, prices, renderings, photographs, case studies — is provided for guidance only and does not constitute a firm offer within the meaning of Art. 1187 of the Romanian Civil Code.

4.2 Prices and availability. Prices shown are in EUR, plus VAT in accordance with Romanian tax legislation in force. AISYSTEMS S.R.L. reserves the right to change prices, technical specifications and product availability at any time, without prior notice.

4.3 No guarantee of business results. AISYSTEMS S.R.L. does not guarantee that purchasing the products presented will generate specific business results, revenue or profit. Case studies and testimonials on the site reflect individual experiences and do not constitute a guarantee of similar results.

5. Limitation and exclusion of liability

5.1 Exclusion of warranties. To the maximum extent permitted by Romanian law, AISYSTEMS S.R.L. excludes any express or implied warranty regarding the accuracy, completeness or timeliness of the information on the site, the absence of technical errors or service interruptions, the compatibility of the site with the user's equipment, and the absence of harmful components.

5.2 Limitation of liability towards Professional Users. In relation to Professional Users, AISYSTEMS S.R.L. will not be liable for any direct, indirect, incidental, special or consequential damages, including loss of profit, loss of data or reputational damage, regardless of whether AISYSTEMS S.R.L. was notified of the possibility of such damages. Should liability towards a Professional User be established, it will be limited to the amount actually paid by that User to AISYSTEMS S.R.L. in the 12 months preceding the damage, or to EUR 500 if no payment was made.

5.3 Liability towards Consumers. Towards Consumers, the liability of AISYSTEMS S.R.L. is governed by Romanian consumer protection law in force, in particular GO 21/1992 and Law 449/2003. No provision in these Terms and Conditions limits the legal rights of Consumers under applicable Romanian and European law.

5.4 Force majeure. AISYSTEMS S.R.L. is not liable for failure to perform or delayed performance of its obligations caused by force majeure events, including natural disasters, pandemics, government restrictions, power outages or internet infrastructure failures, in accordance with Art. 1351-1352 of the Romanian Civil Code.

6. Intellectual property

6.1 Reserved rights. All Content on the site is the exclusive property of AISYSTEMS S.R.L. or is used with the consent of the rights holders and is protected by Law 8/1996 on copyright and related rights, as well as applicable international legislation.

6.2 Prohibited use. Without the prior written consent of AISYSTEMS S.R.L., it is strictly forbidden to: reproduce, copy, distribute or publish any Content; modify, adapt or create derivative works; use the Content for commercial purposes; use scraping, crawling or automated data-extraction techniques; use the Content to train artificial intelligence models or any machine-learning systems; remove or alter copyright notices. Any unauthorized use constitutes an infringement of intellectual property rights and may be subject to civil and criminal action under Romanian law.

6.3 Content submitted by users. By voluntarily submitting content to AISYSTEMS S.R.L. and with the explicit consent given for this purpose, the user grants the company a non-exclusive, free and transferable license to use that content for communication and marketing purposes. This license does not apply automatically and does not constitute a transfer of copyright. The user retains the right to request the withdrawal of submitted content at any time, by sending a written request to [email protected].

7. Collection and processing of personal data

7.1 Data collected. By using the contact form or through direct communication, we collect: first and last name; email address; phone number; approximate geographic location via IP address; technical data about the device and browser; browsing behavior via Google Analytics 4; the content of voluntarily submitted messages.

7.2 Purpose of processing. Data is used to respond to inquiries, send commercial offers with the user's consent, analyze site traffic, prevent fraud, and comply with legal obligations.

7.3 Legal basis. Processing is carried out on the basis of explicit consent (Art. 6(1)(a) GDPR), performance of a contract or pre-contractual measures (Art. 6(1)(b) GDPR), legal obligation (Art. 6(1)(c) GDPR) and the operator's legitimate interest (Art. 6(1)(f) GDPR).

7.4 Transfer of data to third parties. AISYSTEMS S.R.L. may transfer your data to Google LLC via Google Analytics 4 and Google Ads, cloud and hosting providers, email marketing providers, and public authorities upon their request as required by law. Transfer to Google LLC, based in the United States, is carried out under the standard contractual clauses approved by the European Commission.

7.5 Retention period. Personal data is stored for a maximum of 5 years from the last interaction, or for as long as necessary to fulfill the purpose of processing, except where the law requires a longer period.

7.6 User rights. In accordance with the GDPR, you have the right to access, rectify, erase, restrict processing, port your data, and object to processing. Requests should be sent to [email protected]. AISYSTEMS S.R.L. will respond within 30 calendar days. We reserve the right to verify the requester's identity before acting on the request. You have the right to lodge a complaint with the Romanian National Supervisory Authority for Personal Data Processing at www.dataprotection.ro.

8. Cookies

8.1 Types of cookies used. The site uses: strictly necessary cookies — essential for the site to function, no consent required; performance cookies — via Google Analytics 4, for traffic analysis; marketing cookies — for personalized advertising via Google Ads.

8.2 Consent for cookies. Performance and marketing cookies are used solely on the basis of your active and explicit consent, given through the cookie banner shown on your first visit to the site. You can withdraw or change your consent at any time via the cookie settings available on the site or by contacting us at [email protected]. Withdrawing consent does not affect the lawfulness of processing carried out before the withdrawal.

8.3 Google Analytics. The site uses Google Analytics 4, provided by Google LLC. Information on how Google processes data is available at https://policies.google.com/privacy.

9. User conduct

It is strictly forbidden to use the site in any way that could damage its infrastructure, gain unauthorized access to associated computer systems, transmit false or unlawful content, use the site for spam or fraud, or attempt to compromise the site's security. Violating these provisions may result in civil and criminal liability under Romanian law.

10. External links

The site may contain links to third-party websites. AISYSTEMS S.R.L. has no control over them and assumes no responsibility for their content, privacy policies or practices. Accessing external links is done at the user's own risk.

11. Changes to these terms

AISYSTEMS S.R.L. reserves the right to modify these Terms and Conditions at any time. Changes take effect on the date they are published on the site. For users with an active contractual relationship, significant changes will be communicated by email at least 15 days before they take effect. Continued use of the site after changes are published constitutes acceptance of the new version.

12. Severability

If any provision of these Terms and Conditions is declared void or unenforceable by a competent court, the remaining provisions remain in force and continue to have full legal effect. The void provision will be replaced with a valid provision that most closely reflects the original intent of the parties.

13. Waiver

No waiver by AISYSTEMS S.R.L. of the exercise of a right under these Terms and Conditions shall be construed as a permanent waiver of that right or any other right, regardless of the circumstances.

14. Entire agreement

These Terms and Conditions, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between the user and AISYSTEMS S.R.L. regarding use of the site, and supersede any prior understandings on the same subject.

15. Governing law and jurisdiction

These Terms and Conditions are governed exclusively by Romanian law in force. Any dispute will first be resolved amicably. In the absence of an amicable agreement within 30 days of written notice of the dispute, it will be referred to the competent courts in Bucharest, Romania. Consumers have the right to use alternative dispute resolution procedures, including the European online dispute resolution platform available at https://ec.europa.eu/consumers/odr. Consumers may also contact the Romanian National Authority for Consumer Protection (ANPC), https://anpc.ro/.
